An additional earnout of 560,000 shares is contingent on autonomy performance milestones. Warrants for 4,000,000 shares at an exercise price of $10.36 per share were issued to Khosla Ventures. Some stockholders may receive cash in lieu of shares, with a 180-day lockup on stock and a four-year lockup on warrants. Serve maintains a strong balance sheet post-acquisition.
